1. Services

Emperor Shiva ("we", "us") provides technology consulting services, including agentic workflow development, software architecture, and data analysis. Each engagement is defined by a written proposal setting out scope, deliverables, milestones, timeline, and a fixed price. The proposal, together with these terms, forms the agreement for that engagement.

2. Quotes & payment

• All prices are quoted in US Dollars (USD) unless the proposal states otherwise.
• Invoices are payable by card through a secure payment link sent with each invoice.
• Project engagements typically require a deposit before work begins, with the balance invoiced at agreed milestones.
• Invoices are due within 14 days of issue unless the proposal states otherwise.

3. Delivery of services

All services are delivered remotely. Deliverables — working agentic workflows, architecture documentation, or written analysis — are handed over per the proposal, and each engagement includes a handover session. Typical engagements run two to twelve weeks depending on scope; timelines are set in the proposal.

4. Client responsibilities

You agree to provide timely access to the information, materials, and approvals reasonably required to deliver the engagement. Delays caused by missing inputs may extend the timeline.

5. Intellectual property

On full payment, deliverables specified in the proposal are assigned to you. We retain rights to pre-existing tools, libraries, and general know-how used in producing them.

6. Confidentiality

Each party will keep the other's non-public information confidential and use it only for the engagement.

7. Refunds & cancellation

Cancellation and refund terms are set out in our Refund Policy, which forms part of these terms.

8. Liability

To the maximum extent permitted by law, our total liability for any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss.

9. Governing law
